This Letter of Intent (“LOI”) sets forth the general terms under which Prospective Tenant (“Tenant”) proposes to lease the property described below from NEIS Acquisitions, LLC (“Landlord”). It is intended solely as a basis for further negotiation and, except as expressly stated herein, is not a binding agreement.

Non-Binding Nature

This LOI is a preliminary expression of interest only. No binding obligation of any kind shall arise between the parties unless and until a definitive leaseagreement is negotiated, executed, and delivered by both parties. Either party may withdraw at any time prior to such execution, for any reason or no reason, without liability. This LOI does not constitute an offer capable of acceptance and is subject to, among other things, the parties’ mutual agreement on all terms, internal approvals, and satisfactory due diligence.
